Non-Compete, Non-Solicitation, Confidentiality and Intellectual Property (Self-Employed Contractors)

The Contractor acknowledges that during the course of providing services they will have access to confidential information, client relationships, business methods, pricing structures, marketing materials, intellectual property, and other proprietary information belonging to the Company, and that such information is critical to the Company’s legitimate business interests.

1. Continuous Engagement and Reference Point

- The Contractor’s engagement with the Company shall be deemed continuous until formally terminated in writing by either party.
- In the absence of formal termination, the last date on which the Contractor provided services to the Company shall be deemed the reference date for the purposes of calculating all post-engagement obligations, including non-compete, non-solicitation, and other restrictions.

2. Non-Compete

The Contractor agrees that during the term of this agreement, and for a period of 12 months following the reference date defined above, they shall not, without the prior written consent of the Company, directly or indirectly:

- Establish, operate, be employed by, consult for, or otherwise be involved in any business which provides wedding childcare services, event childcare services, or mobile creche services;
- Within the geographic areas in which the Company operates, specifically London and Greater London, and within a 10-mile radius of any venue or location at which the Contractor provided services on behalf of the Company during the 12 months prior to the reference date;
- Where such business is in competition with the Company.

3. Non-Solicitation

The Contractor agrees that during the term of this agreement and for a period of 12 months following the reference date, they shall not, directly or indirectly:

- Solicit, approach, or attempt to solicit any client, customer, venue, supplier, or business contact of the Company with whom they had contact or involvement during the engagement;
- Accept business from or provide services to any such client or contact where that opportunity arose as a result of the engagement with the Company;
- Recruit, engage, or attempt to recruit or engage any employee, contractor, or associate of the Company.

4. Confidentiality

The Contractor agrees to keep strictly confidential and not, at any time during or after the term of this agreement, use or disclose for their own benefit or for the benefit of any third party any confidential or commercially sensitive information relating to the Company, including but not limited to client details, pricing structures, marketing strategies, business processes, supplier relationships, operational methods, business positioning, or business ideas. These obligations apply immediately upon engagement and continue indefinitely.

5. Intellectual Property

The Contractor agrees that all materials, documents, marketing content, website content, systems, processes, training materials, branding, creative works, business concepts, operational ideas, and any other intellectual property created, developed, or contributed to by the Contractor in connection with the services provided under this agreement shall remain the sole and exclusive property of the Company.

The Contractor shall not copy, reproduce, adapt, use, or derive any benefit from such intellectual property, in whole or in part, for the purposes of operating or supporting any competing business, including but not limited to website content, branding, business positioning, service offerings, or operational strategies.

6. Reasonableness

The Contractor acknowledges that the restrictions set out in this clause are reasonable and necessary for the protection of the Company’s legitimate business interests, including client relationships, confidential information, goodwill, intellectual property, and operational know-how. The Contractor agrees that they have entered into this agreement voluntarily and with full understanding of the restrictions imposed.
